Alan Casey


Alan Casey is Head of the Firm's New York Office which assists North American corporations and clients on transactions and investments in and through Ireland. Alan was previously based in the Firm's Dublin office. He is a member of the Firm's Corporate Department and advises leading Irish and multi-national public and private companies across a broad range of Mergers & Acquisitions and Equity Capital Markets issues. Alan has advised on many of the largest corporate transactions in Irish history and is listed as a Leading Lawyer in both M&A and Equity Capital Markets by IFLR1000 2017. A&L Goodbody's M&A team is ranked No.1 Irish M&A Law Firm for 2012 - 2016 by each of the leading international research publications – Mergermarket, Bloomberg, Thomson Reuters and Experian Corpfin.

  • Perrigo Company plc on its sucessful defence of the $27bn hostile offer by Mylan N.V.
  • Medtronic Inc. on its $49bn acquisition of Covidien plc. 
  • élan on Perrigo Company's recommended $8.6bn takeover offer. 
  • élan on its successful defence of the hostile $6.7bn offer by Royalty Pharma.
  • Eaton Corporation on its $13bn offer for Cooper Industries plc.
  • Endo International plc on its $2.6bn acquisition of Auxilium Pharmaceuticals.
  • Endo Health Solutions on its $1.6bn acquisition of Paladin Labs and related corporate inversion into Ireland.
  • Ryanair in its acquisition of a 29% stake in Aer Lingus and its multiple takeover offers.
  • Jazz Pharmaceuticals in its combination with Azur Pharma creating a $2bn specialty biopharmaceutical company based in Ireland.

  • élan on Johnson & Johnson’s US$885mn equity investment in élan and related $500mn investment in élan's Alzheimers Immunotherapy Programme (Public M&A Deal of the Year 2012 - Finance Dublin).
  • EBS Building Society in respect of its combination with Allied Irish Banks (Financial Services Deal of the Year 2012 - Finance Dublin). 
  • Bank of Ireland in connection with the sale of Bank of Ireland Securities Services (BOISS) to Northern Trust (IFSC Deal of the Year 2012 - Finance Dublin).

Capital Markets Transactions on which Alan has advised include the following;

  • Johnson Controls International plc on the spin-out of its Adient automotive business.
  • Prothena Corporation plc on multiple capital raises.
  • Jazz Pharmaceuticals on a $390m secondary offering and a $200m share buyback programme.
  • The Placing Agents and joint Lead Managers on Bank of Ireland's €537m placing in connection with the Irish State's sale of its €1.8bn stake in the bank.
  • élan on its $1bn share buyback by Dutch Auction Tender offer.
  • élan in respect of the spin-off and related IPO of Prothena Corporation plc on NASDAQ.
  • Irish Continental Group plc on its fully subscribed €111m Tender Offer Buy Back of approx 24.9% of its share capital.
  • élan on its disposal of an approx $400m stake in Alkermes plc.
  • The Joint Book Runners, Joint Sponsors and Underwriters (Citi, Credit Suisse, Davy, Deutsche Bank and UBS) in Bank of Ireland's 2010 and 2011 capital raisings.
