EU, Competition & Procurement

ALG's EU, Competition & Procurement team frequently advise clients on competition law issues arising in the life sciences sector, including matters relating to pricing, parallel trade, and product shortages. We also provide active support in the context of investigations by competition regulators and have significant experience in designing competition compliance programmes for clients. Members of the practice have represented clients in the life sciences sector during dawn raids conducted by competition authorities.

Our team assists clients in navigating complex merger control, FDI screening, and regulatory considerations that arise in the context of acquisitions within the life sciences sector. The team has advised on multiple high-value and high-profile transactions in the sector. In addition, our lawyers regularly advise on State aid issues and have engaged with the European Commission on State aid matters in the life sciences sector.

In the area of public procurement, we have advised extensively on both contentious and non-contentious matters for clients from the public and private sectors, including hospitals, pharmaceutical companies, medical device suppliers, and healthcare service providers. Our team has also represented clients before the Irish and Northern Ireland courts in many of the leading procurement cases in the sector.

Exponent on the merger control aspects of its acquisition of Chanelle Pharma, the largest indigenous pharma company in Ireland and the largest manufacturer of human and veterinary generic pharmaceuticals.

AIG/Corebridge Financial on the merger control elements of its €650m sale of Laya Healthcare Limited to AXA.

ICON plc on the multi-jurisdictional competition, merger control and FDI screening aspects of its acquisition of PRA Health Sciences in a cash and share transaction valued at approximately $12bn.

Homecare Medical Suppliers on procurement proceedings against the HSE regarding the award of a contract for storage and distribution services for disposable continence products.

Baxter Healthcare on procurement proceedings against the HSE regarding the provision of renal hemodialysis satellite units for Dublin North East and Dublin mid Leinster.

Nursing Homes Ireland in a State aid complaint to the European Commission relating to the operation of the Nursing Homes Support Scheme (the Fair Deal Scheme).
